By accessing or using any services provided by Giga Liquidity Reserve ("GTR", "we", "us", or "our"), you ("User", "you", or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms").

These Terms apply to all users of our services, including but not limited to investors, website visitors, and platform users. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.

2. Eligibility and Account Requirements

Eligibility Criteria

You must be at least 18 years old (or the age of majority in your jurisdiction)
You must have the legal capacity to enter into binding agreements
You must not be located in a restricted jurisdiction
You must meet applicable accredited investor requirements

Account Responsibilities

Provide accurate and complete information during registration
Maintain the security of your account credentials
Notify us immediately of any unauthorized access
Comply with all applicable laws and regulations

3. Investment Services

Service Description

GTR provides quantitative investment management services for digital assets. Our services include:

Investment Risks

All investments carry risk of loss. Digital asset investments are particularly volatile and may result in total loss of capital. Past performance does not guarantee future results.

4. Risk Disclosure

Market Risks

Digital assets are highly volatile and speculative
Market conditions can change rapidly and unpredictably
Liquidity may be limited during market stress
Regulatory changes may impact asset values

Technology Risks

Smart contract vulnerabilities and bugs
Blockchain network congestion or failures

5. Fees and Charges

Management Fees

We charge management fees as disclosed in your investment agreement. Fees may include:

Fee Calculation

Fees are calculated and deducted according to the terms specified in your investment agreement. We will provide regular statements showing all fees charged.

6. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

Tax evasion
Fraud or misrepresentation

Platform Abuse

Unauthorized access attempts
System manipulation
Spam or malicious content
Reverse engineering

7. Limitation of Liability

To the maximum extent permitted by law, GTR's liability is limited as follows:

Exclusions

We are not liable for market losses or investment performance
We exclude liability for indirect, consequential, or punitive damages
Our total liability is limited to fees paid in the preceding 12 months
We are not responsible for third-party service failures

8. Termination

Termination Rights

Either party may terminate the agreement with appropriate notice:

You may terminate by providing 30 days written notice
We may terminate immediately for breach of terms
We may terminate with 90 days notice for business reasons
Termination does not affect accrued rights and obligations

9. Governing Law and Disputes

Jurisdiction

These Terms are governed by the laws of California, USA, without regard to conflict of law principles.

Dispute Resolution

Disputes will be resolved through binding arbitration
Arbitration will be conducted under AAA Commercial Rules
The arbitration will take place in San Francisco, California
Class action lawsuits are waived
